Agreement(Required)

I agree to the definition of participants in this Agreement as noted below.

1) This Agreement (“Agreement”) sets forth the mutually agreed upon terms and conditions by and between Fertility Science Institute and its affiliates (“FSI”) and the Workshop Facilitator ("Facilitator") on the basis of the First and Last name entered into the Contract Form (“Facilitator”).

Principles(Required)

I agree to and affirm that my services are aligned with the Fertility Science Institute principles noted below.

Our Principles
Fertility Science Institute specifically supports scientifically-based, all natural, fertility awareness based methods of family planning.

Fertility Science Institute does not support any action which intentionally damages or frustrates the normal function of a healthy reproductive or other functioning part of the body.

Fertility Science Institute does not support abortion, nor the referral for abortion.

Technological interventions (such as IVF) which separate conception from the marital act are contrary to the dignity of the human person and deny the basic right of every child to be conceived in an act of love between its mother and father.

Couples using FABMS have autonomy to determine the size of their own families based on their own physical, economic, psychological, spiritual, and social conditions.

Responsibilities & Ownership of Content(Required)

I agree to the Collaboration and Ownership Content noted below.

Facilitator:
1) The Facilitator will create all marketing materials and market their program/workshop as the Facilitator sees fit.
2) The Facilitator agrees to purchase FSI workshop kits for any workshop they host. A workshop will not be allowed to be held without FSI Kits.
3) The Facilitator will be responsible to provide FSI with a list of all participants and emails under the assumptions that: (a) FSI will not sell this list to others and (b) Participants can opt out of unsolicited emails from FSI at any time.
4) The Facilitator has completed the training provided by FSI and will not say or provide any information that is not in line with the FSI principles or include any prohibited content as noted in the "Prohibited Content" section.

FSI:
1) FSI agrees to provide training, videos for the workshop, and marketing templates for each of the workshops the Facilitator is trained for.
2) FSI owns all the content included in the videos and kits and they cannot be duplicated or altered by the Facilitator.
3) FSI will follow up with an email to the participants after each workshop to obtain feedback information.

Prohibited Content(Required)

I agree that I will not include any of the prohibited content below and acknowledge that the below is a non-exclusive list.

The following is a non-exclusive list of activities prohibited under the terms of this Agreement:
a. Content contains information or views not in line with FSI Principles.
b. The uploading, posting or other transmittal of any Content that violates, infringes or misappropriates the intellectual property rights of others, including patents, trademarks, service marks, trade secrets, copyrights or other proprietary rights of any party.
c. Using pictures of people or featuring people in the content without their consent.
d. The uploading, posting or other transmittal of any Content that you do not have a right to transmit under any law or under contractual, fiduciary or personal relationships (such as inside information, proprietary and confidential information learned or disclosed as part of this agreement or under nondisclosure agreements).

Termination of Agreement & Removal of Content(Required)

I agree to the Termination & Removal of Content Clause below.

1) FSI and the Facilitator shall each have the right to terminate this Agreement in the event of any material breach of this Agreement, or breach of FSI Policies and Principles. Prior notice and right to cure may or may not be given, depending on the severity of the violation. For example, if Facilitator violates a law, no prior notice or right to cure will be required.
2) Facilitator agrees and acknowledges that FSI will, in its sole discretion, determine whether or not the content is consistent with the terms and conditions of this Agreement. Facilitator also agrees and acknowledges that FSI may suspend, remove, delete or modify any Facilitator and its content or any portion thereof that FSI deems inconsistent with the terms and conditions of this Agreement or unacceptable for any other reason and may suspend, cancel or modify Facilitator's content without prior notice to you. Such termination of the content may result in the deactivation or deletion of your content from the FSI website.

Limitations on Liability(Required)

I agree to the Limitations on Liability noted below.

In no event shall either party be liable for any special, incidental or consequential damages, or for interrupted communications, lost data or lost profits, arising out of or in connection with this Agreement.

Other Provisions:(Required)

I agree to the other provisions noted below.

1) The Facilitator is responsible for following Federal, State, City, County, ect tax law and requirements for any amount earned on workshops/programs held.
2) This Agreement will be governed by Ohio law without giving effect to principles of conflict of laws. Both parties agree to submit to jurisdiction in Ohio, and that any action brought regarding the enforcement or interpretation of this Agreement shall be filed in Cincinnati, Ohio. The prevailing party in any action will be entitled to reasonable attorney's fees and costs.
